THIS AGREEMENT made this 22nd day of=20 April, 2008, by and between=20 Eagle Eye Property Inspections (hereinafter = "INSPECTOR")=20 and the undersigned (hereinafter "CLIENT"), collectively referred = to=20 herein as "the parties."    The Parties Understand = and=20 Voluntarily Agree as follows:

Preamble:
1. INSPECTOR agrees to perform a visual = inspection=20 of the home/building and to provide CLIENT with a written = inspection=20 report identifying the defects that INSPECTOR both observed and = deemed=20 material. INSPECTOR may offer comments as a courtesy, but these = comments=20 will not comprise the bargained-for report. The report is only=20 supplementary to the seller's disclosure. Paragraph 1:
2. Unless otherwise inconsistent with this = Agreement=20 or not possible, INSPECTOR agrees to perform the inspection in = accordance=20 to the current Standards = of=20 Practice of the International Association of Certified Home=20 Inspectors. Although INSPECTOR agrees to follow InterNACHI's = Standards=20 of Practice, CLIENT understands that these standards contain = certain=20 limitations, exceptions, and exclusions. CLIENT also understands = that=20 InterNACHI is not a party to this Agreement and that InterNACHI = has no=20 control over INSPECTOR or representations made by INSPECTOR and = does not=20 supervise INSPECTOR. Unless otherwise indicated below, CLIENT = understands=20 that INSPECTOR will NOT be testing for the presence of Radon - a=20 colorless, odorless, radioactive gas that may be harmful to = humans. Unless=20 otherwise indicated below, CLIENT understands that INSPECTOR will = NOT be=20 testing for mold. Unless otherwise indicated below, CLIENT = understands=20 that INSPECTOR will not test for compliance with applicable = building codes=20 or for the presence of potential dangers arising from asbestos, = lead=20 paint, formaldehyde, molds, soil contamination, and other = environmental=20 hazards or violations. Paragraph 2:
3. The inspection and report are performed = and=20 prepared for the use of CLIENT, who gives INSPECTOR permission to = discuss=20 observations with real estate agents, owners, repairpersons, and = other=20 interested parties. INSPECTOR accepts no responsibility for use or = misinterpretation by third parties. INSPECTOR's inspection of the = property=20 and the accompanying report are in no way intended to be a = guarantee or=20 warranty, express or implied, regarding the future use, = operability,=20 habitability or suitability of the home/building or its = components. Any=20 and all warranties, express or implied, including warranties of=20 merchantability and fitness for a particular purpose, are = expressly=20 excluded by this Agreement to the fullest extent allowed by law. = If any=20 structure or portion of any structure that is to be inspected = pursuant to=20 this Agreement, is a log home, log structure or similar log = construction,=20 CLIENT understands that such structures have unique = characteristics that=20 make it impossible for an inspector to inspect and evaluate them = by an=20 exterior visual inspection. Therefore, the scope of the inspection = to be=20 performed pursuant to this Agreement does not include decay of the = interior of logs in log walls, log foundations or roofs or similar = defects=20 that are not visible by an exterior visual inspection. Paragraph 3:
4. INSPECTOR assumes no liability for the = cost of=20 repair or replacement of unreported defects or deficiencies either = current=20 or arising in the future. CLIENT acknowledges that the liability = of=20 INSPECTOR, its agents, employees, for claims or damages, costs of = defense=20 or suit, attorney's fees and expenses and payments arising out of = or=20 related to the INSPECTOR's negligence or breach of any obligation = under=20 this Agreement, including errors and omissions in the inspection = or the=20 report, shall be limited to liquidated damages in an amount equal = to the=20 fee paid to the INSPECTOR, and this liability shall be exclusive. = CLIENT=20 waives any claim for consequential, exemplary, special or = incidental=20 damages or for the loss of the use of the home/building even if = the CLIENT=20 has been advised of the possibility of such damages. The parties=20 acknowledge that the liquidated damages are not intended as a = penalty but=20 are intended (i) to reflect the fact that actual damages may be = difficult=20 and impractical to ascertain; (ii) to allocate risk among the = INSPECTOR=20 and CLIENT; and (iii) to enable the INSPECTOR to perform the = inspection at=20 the stated fee. Paragraph 4:
5. INSPECTOR does not perform engineering, = architectural, plumbing, or any other job function requiring an=20 occupational license in the jurisdiction where the inspection is = taking=20 place, unless the inspector holds a valid occupational license, in = which=20 case he/she may inform the CLIENT that he/she is so licensed, and = is=20 therefore qualified to go beyond this basic home inspection, and = for=20 additional fee, perform additional inspections beyond those within = the=20 scope of the basic home inspection. Any agreement for such = additional=20 inspections shall be in a separate writing or noted here: Paragraph 5:
6. In the event of a claim against = INSPECTOR, CLIENT=20 agrees to supply INSPECTOR with the following: (1) Written = notification of=20 adverse conditions within 14 days of discovery, and (2) Access to = the=20 premises. Failure to comply with the above conditions will release = INSPECTOR and its agents from any and all obligations or liability = of any=20 kind. Paragraph 6:
7. All of the other terms of the Agreement = (Inspection Contract) are incorporated herein by reference. Paragraph 7:
8. The parties agree that any litigation = arising out=20 of this Agreement shall be filed only in the Court having = jurisdiction in=20 the County in which the INSPECTOR has its principal place of = business. In=20 the event that CLIENT fails to prove any adverse claims against = INSPECTOR=20 in a court of law, CLIENT agrees to pay all legal costs, expenses = and fees=20 of INSPECTOR in defending said claims. CLIENT further understands = that any=20 legal action against InterNACHI itself allegedly arising out of = this=20 Agreement or INSPECTOR's relationship with InterNACHI must be = brought only=20 in the District Court of Boulder County, Colorado. Paragraph 8:
9. If any court declares any provision of = this=20 Agreement invalid or unenforceable, the remaining provisions will = remain=20 in effect. This Agreement represents the entire agreement between = the=20 parties. All prior communications are merged into this Agreement, = and=20 there are no terms or conditions other than those set forth = herein. No=20 statement or promise of INSPECTOR or its agents shall be binding = unless=20 reduced to writing and signed by INSPECTOR. No change or = modification=20 shall be enforceable against any party unless such change or = modification=20 is in writing and signed by the parties. This Agreement shall be = binding=20 upon and enforceable by the parties and their heirs, executors,=20 administrators, successors and assignees. CLIENT shall have no = cause of=20 action against INSPECTOR after one year from the date of the=20 inspection. Paragraph 9:
10. Payment of the fee to INSPECTOR (less = any deposit=20 noted above) is due upon completion of the on-site inspection. The = CLIENT=20 agrees to pay all legal and time expenses incurred in collecting = due=20 payments, including attorney's fees, if any. If CLIENT is a = corporation,=20 LLC, or similar entity, the person signing this Agreement on = behalf of=20 such entity does personally guaranty payment of the fee by the = entity. Paragraph 10:
11. HOLD HARMLESS AGREEMENT: CLIENT agrees = to hold=20 any and all real estate agents involved in the purchase of the = property to=20 be inspected harmless and keep them exonerated from all loss, = damage,=20 liability or expense occasioned or claimed by reasons of acts or = neglects=20 of the INSPECTOR or his employees or visitors or of independent=20 contractors engaged or paid by INSPECTOR for the purpose of = inspecting the=20 subject home. Paragraph 11:
12. This Agreement is not transferable or = assignable.=20
